Terms & Conditions

Welcome to KePSLA, a product of Reprecom Solutions Pvt. Ltd. (“Company”, “we”, “our”, “us”).
These Terms & Conditions (“Terms”) govern your access and use of the KePSLA platform, including Review Intelligence, Feedback Management, Service Enhancement System (SES), KePSLA Pulse (WhatsApp CRM), KePSLA Engage & Journey, and all related AI-driven modules, mobile applications, dashboards, integrations, websites, and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms.


1. Definitions

  • Client / You – The hotel, hospitality group, travel business, tourism board, or authorised user accessing our Services.

  • Platform – All KePSLA applications, dashboards, APIs, analytics tools, reporting layers, and integrated systems.

  • Guest Data – Any personally identifiable or non-identifiable information captured from or about hotel guests.

  • Content – Text, data, images, videos, reviews, messages, analytics, and any material generated or uploaded on the Platform.

  • AI Output – Any analysis, sentiment, categorisation, synopsis, mapping, auto-reply or insight generated by KePSLA’s proprietary AI.

2. Eligibility & Acceptance

By using the Platform, you confirm that:


  • You are authorised to enter a binding contract on behalf of your organisation.

  • You comply with all applicable laws including GDPR, DPDP Act 2023, and local regulations.

  • You have read, understood, and accepted these Terms and our Privacy Policy.

3. Description of Services

KePSLA provides:


  • AI-powered review analytics across global platforms.

  • Feedback and survey management tools, including multilingual sentiment & intent analysis.

  • Service Enhancement System (SES) ticketing with SLA workflows, escalations, nudges, and integrations.

  • KePSLA Pulse – WhatsApp CRM for guest messaging, automation, campaigns, and replies.

  • KePSLA Engage & Journey – guest lifecycle communication and engagement.

  • Data analytics dashboards, KPIs, and advanced reporting.

  • Integrations with PMS, CRM, CRS, WhatsApp Business API, social platforms, and tableau reporting stack.

  • APIs for custom workflows and third-party ecosystems.

KePSLA may update, enhance, or discontinue certain features at its discretion.

4. Account Registration & Access 

Clients must:

  • Provide accurate account information.

  • Ensure proper user access management within their organisation.

  • Maintain confidentiality of usernames, passwords, API keys, and access tokens.

KePSLA is not liable for unauthorised access due to client mismanagement.

5. Client Responsibilities

You agree to:

  • Use the Platform only for lawful business purposes.

  • Ensure that all Guest Data collected, uploaded, or synced is in accordance with applicable privacy laws.

  • Not misuse or attempt to reverse engineer, clone, or duplicate KePSLA’s proprietary AI or systems.

  • Maintain appropriate integrations (PMS/CRM/WhatsApp API) required for the functioning of the Services.

6. Data Ownership & Usage

Client Ownership: All Guest Data and hotel operational data remain your sole property.

  • KePSLA Usage Rights:
    You grant KePSLA a non-exclusive, royalty-free licence to process data strictly for:

    • service delivery

    • analytics

    • AI training (only on anonymised and aggregated datasets)

    • product improvement

  • AI Outputs: Insights generated by KePSLA AI belong to the Client for business use.

KePSLA does not sell client data to third parties.

7. Data Protection & Compliance 

We follow industry-standard security practices including:

  • VAPT-certified infrastructure

  • DUNS-verified compliance

  • Support for GDPR-compliant hosting (AWS Europe)

  • DPDP-ready data processing frameworks

  • Encryption in transit and at rest

  • Access logging and audit controls

Clients must follow their own regulatory obligations regarding guest consent and data governance. 

8. Third-Party Integrations

KePSLA integrates with:

  • PMS/CRS/CRM systems

  • WhatsApp Business API providers

  • OTA review platforms (scraping where allowed)

  • Tableau & reporting services

We are not responsible for failures caused by third-party outages or policy changes.

9. WhatsApp & Messaging Compliance

For clients using KePSLA Pulse:

  • Messaging must comply with WhatsApp Business API rules.

  • The Client is responsible for obtaining guest consent.

  • Violations can lead to suspension by WhatsApp or the BSP, without liability to KePSLA.

10. AI Features & Limitations 

KePSLA AI provides predictions, sentiment, categorisation, and suggestions, but:

  • Should not be treated as legal, medical, or financial advice.

  • May occasionally produce errors based on third-party data quality.

  • Requires human oversight for high-impact decisions.

11. Payment Terms

 All subscriptions are billed as per the commercial agreement.

  • Non-payment may result in suspension or termination of access.

  • Fees are non-refundable unless explicitly agreed.


12. Intellectual Property

All software, AI models, algorithms, designs, dashboards, workflows, branding, and documentation are the exclusive property of KePSLA.

Clients may not copy, modify, distribute, sublicense, or create derivative works of the Platform.


13.Service Availability

We aim for high uptime but do not guarantee uninterrupted service due to:

  • Scheduled maintenance

  • Third-party system outages

  • Force majeure events


14. Limitation of Liability

To the maximum extent permitted by law:

  • KePSLA is not liable for indirect, incidental, punitive, or consequential damages.

  • Total liability in any case will not exceed the amount paid by the Client in the preceding 12 months.


15. Termination

We may suspend or terminate access if:

  • The Client violates these Terms.

  • Payment obligations are unmet.

  • Use of the Platform harms system integrity or security.


Upon termination:

  • Data will be returned or deleted as per the Data Retention Policy.


16. Confidentiality

Both parties shall maintain strict confidentiality over:

  • Business information

  • Guest Data

  • Integrations

  • Trade secrets

  • Commercial agreements

17. Amendments

KePSLA may revise these Terms periodically. Continued use constitutes acceptance of updated Terms.

18. Governing Law & Jurisdiction

These Terms are governed by the laws of India, with jurisdiction under the courts of Bangalore, Karnataka.
